1. Parties and scope
These Terms of Service (“Terms”) are between you (“you” or “User”) and Ed & Sy Inc (“we,” “us,” or “Company”) and govern your use of Report Rosetta and related services (the “Service”). Report Rosetta is part of the Rosetta Suite. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Service description
Report Rosetta turns business reports (pasted text, URLs, PDFs, CSV, or XLSX files) into plain-English briefings with: What it says, Key findings, So what, and What to ignore. We do not store your report content or use it to train AI models. Only the generated briefing may be stored when you use features such as share links, and only when it passes our content checks.
Free tier: Limited number of briefings per month (as shown in the product). Paid tiers (e.g. Starter): Higher or unlimited usage, shareable links, and other features as described on the pricing page. We may change limits or features with notice where required.
Briefings are generated by artificial intelligence. They are for general informational use only and are not legal, financial, tax, or professional advice. Do not rely on them for decisions that require licensed advice.
3. Account
You may sign in via magic-link email (passwordless). You are responsible for keeping access to that email secure and for all activity under your account. You must provide accurate information and comply with these Terms and our Acceptable Use Policy.
4. Acceptable use
You must not submit content that contains sensitive personal or financial data (e.g. SSNs, credit card numbers) or that violates our content policy (e.g. prompt-injection or harmful material). You must not abuse the Service (e.g. automated scraping, bulk resale, bypassing rate limits or usage caps). You must not use the Service for illegal or harmful purposes. We may reject content, suspend or terminate access, or remove data for violations. See our Acceptable Use Policy for details.
5. Limits and availability
We apply rate limits and usage caps to ensure fair use and system stability. The Service is provided “as is” and we do not guarantee uninterrupted or error-free operation. We may modify or discontinue features with reasonable notice where practicable.
6. Intellectual property and license
You retain ownership of content you submit. You grant us a limited license to use, process, and transmit that content only as necessary to provide the Service (including sending report text to our AI provider to generate briefings). We retain all rights in the Service, our brand, and our technology. You receive no ownership in the Service or in any AI-generated output beyond the right to use your own briefings in accordance with these Terms.
7. Payment (paid tiers)
Paid subscriptions (e.g. Starter) are billed as described on the pricing page. Payments are processed by third-party payment providers (e.g. Stripe). Fees are non-refundable except as required by law or as we may specify in a separate refund policy. We may change pricing with advance notice; continued use after the change constitutes acceptance.
8. Termination
We may suspend or terminate your access at any time for breach of these Terms, abuse, or for operational or legal reasons. You may stop using the Service at any time. On termination, your right to use the Service ends. We may retain or delete data as described in our Privacy Policy.
9. Disclaimers
THE SERVICE AND ALL CONTENT AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. AI-GENERATED BRIEFINGS ARE FOR INFORMATIONAL USE ONLY AND ARE NOT LEGAL, FINANCIAL, TAX, OR PROFESSIONAL ADVICE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ED & SY INC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
12. Changes
We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be communicated by email or a notice on the Service where appropriate. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
